Partner terms for venues.

1. Scope

These partner terms govern the partnership between JustRoom (Philip P.M. Jansohn, Canettistraße 1/1201, 1100 Vienna, Austria – “JustRoom”) and the operators of event venues, seminar hotels, meeting spaces and similar businesses (“venue” or “partner”) presented on justroom.at and justroom.de. Together with the partner agreement (the venue’s order and JustRoom’s confirmation), they form the contract. The JustRoom terms and conditions apply in addition. Deviating terms of the partner do not apply.

2. Conclusion of contract

The partner can order online via the order form. By submitting the order and confirming it via the link sent by email, the partner makes a binding offer. The contract is concluded once JustRoom confirms the order by email; with the confirmation the partner receives the partner agreement as a PDF. JustRoom may reject orders without giving reasons. The ordering person confirms that they are authorised to conclude contracts on behalf of the partner. Contracts may also be concluded in writing or by email, including via a personal offer link.

3. Services of JustRoom

• Presentation of the venue with its own profile page in German and English within the scope of the booked package (in particular description, images, room plan, prices, location and contact options), visibility in search, on city, region and occasion pages and in JustRoom’s communication.
• Forwarding of enquiries by email to the contact address stored by the partner, and access to the venue area for maintaining the profile.
• Additional services of the booked package (e.g. top placement as Preferred Partner, newsletter, editorial articles) as described on justroom.at at the time of the order.
• JustRoom is not a booking channel and receives no commission on enquiries or bookings. A particular number of enquiries or bookings is not owed. The order of venues in lists depends on package and other criteria and does not constitute a quality rating.

4. Duties of the partner

• The partner provides complete and accurate information (in particular capacities, rooms, prices including VAT, address) and keeps it up to date. Changes in the venue area go online after a brief review by JustRoom.
• The partner keeps the contact address for enquiries up to date and answers enquiries promptly, if possible within two working days.
• Contracts for events are concluded exclusively between the partner and the event planner. JustRoom does not become a party to these contracts.

5. Content and rights

The partner ensures that it holds all rights to the texts, images, videos and trademarks provided and grants JustRoom, for the duration of the partnership, a simple, free right to use them to present the venue on justroom.at/justroom.de, in newsletters, social media and other communication by JustRoom. JustRoom may edit content editorially, shorten it and translate it. The partner indemnifies JustRoom against third-party claims arising from infringements caused by this content.

6. Enquiries and data protection

The partner receives the details that event planners provide in their enquiries. It processes these data as an independent controller exclusively to handle the enquiry and any resulting contract, and complies with data protection law. Access links to the venue area are to be treated confidentially.

7. Fees

• The partner pays the monthly fee stated in the partner agreement for the booked package and, if applicable, a one-off setup fee. JustRoom invoices the fee for one contract year in advance, the setup fee with the first invoice. Invoices are payable within the period stated on them.
• All amounts are net plus statutory VAT. Promotional and individual prices apply to the first contract year unless agreed otherwise. JustRoom announces price changes for future contract years at least two months before they take effect.

8. Term and cancellation

• The partnership starts on the date stated in the partner agreement and initially runs for 12 months. It renews automatically for a further 12 months unless cancelled by either party in writing (email is sufficient) no later than three months before the end of the respective contract year.
• The right to terminate for good cause remains unaffected, in particular in the event of default in payment or repeated false information. On termination the profile is taken offline.

9. Upgrades

The partner may switch to a higher package at any time; the new price applies from the switch. If a partner upgrades from Starter within 60 days of the start, the setup fee and payments made are credited in full.

10. Liability

JustRoom is liable only for intent and gross negligence; liability for loss of profit and consequential damage is excluded as far as legally permissible. JustRoom does not guarantee uninterrupted availability of the website. The partner is solely responsible for its services towards event planners.

11. Final provisions

Austrian law applies, excluding conflict-of-law rules and the UN Convention on Contracts for the International Sale of Goods. The place of jurisdiction is Vienna. JustRoom will notify the partner of changes to these terms by email at least four weeks before they take effect; if the partner does not object, they are deemed accepted. Should individual provisions be invalid, the remaining provisions remain unaffected.
